Ladies and Gentlemen,

I would like to address you, as managers or investors, to present briefly the services of the consulting office TOP LEGAL TEAM, SE, and to explain the reason of its establishment, which was the natural continuation of my previous professional career.

For over two decades, I worked as an independent consultant and as an auditor for an auditor company where, together with my colleagues, I was involved in dealing with or preventing tax disputes and where I realized billions of Czech crowns in savings for our clients. In the course of those activities, I was in close contact with the owners and top managers of the client companies, as well as with the heads of the economic and legal departments of companies in various business spheres. Thus I had the opportunity to understand their way of thinking and the hierarchy of their priorities. I also witnessed confrontations between the needs of the clients and the requirements imposed by the legislation and the business environment as such.

Now I feel that this kind of experience, along with continual training and monitoring of trends in law and economics, is one of the attributes that benefits our clients. The other attributes include high quality and professionalism, which I see as preconditions for improving the value of our client´s products. Even though we present these attributes of our quality services as a standard, they are not easy to achieve. The resulting professional know-how, as well as our corporate identity, are based on years of experience and close cooperation with our colleagues.

I have the honour to introduce to you our consulting company as a club of several dozens of outstanding specialists, top experts from among practicing lawyers, tax advisors, auditors and recognized members of the academic community. ThDr. JUDr. PhDr. Ing. Jan Škopek, Ph.D., DBA, LL.M.

 

 

Mr. Jan Škopek has extensive professional experience in management of international investment relations in various jurisdictions, such as Italy, Switzerland, Liechtenstein and Monaco. He has been involved in a number of transformations, acquisitions and restructuring of companies. Apart from his regular academic training in law and economics, he graduated in Canon and Confession Law at the Theological Faculty of Charles University in Prague.

He regularly publishes articles about tax law issues. He has succeeded in all the levels of professional qualification examinations for financial markets, including derivatives; he is a member of the Church Law Society and a member of Mensa International.


 

   
 

JUDr. Radka Chlebcová, Ph.D.

 

 

Ms. Radka Chlebcová is a renowned attorney and specialist on commercial and corporate law, implementation of large industrial works and private international law. She has acquired her extensive experience as the head of legal and HR departments of a Czech leading business company.

She specializes in the preparation of complete contractual documentation for various domestic and international investment transactions. Apart from her academic activities at the Faculty of Law of Masaryk University in Brno, she also lectures at other renowned private educational institutions, including in-house seminars. She is a holder of CACE certificates for FIDIC conditions of contracts.




 
   
 

doc. JUDr. Dana Ondrejová, Ph.D.

 

 

Ms. Dana Ondrejová is an elite academic specialized in law regulating unfair competition and unfair business practices , law of contract, securities law and advertising law.

She teaches at the commercial law department of the Faculty of Law of Masaryk University in Brno and at a number of other educational institutions. She is a qualified attorney, she serves and an arbitrator for the Arbitration Court attached to the Economic Chamber of the Czech Republic and to the Agricultural Chamber of the Czech Republic and for the Arbitration Court attached to the Czech Moravian Commodity Exchange Kladno. She has authored important specialist publications and commentaries in the field of commercial law.


 

   
 

JUDr. Ing. Magda Janotová, LL.M.

 

 

Ms. Magda Janotová is a leading Czech specialist with many years of practice, particularly in the field of corporate law and law of obligations. She leads the legal department of a major Czech holding.

She serves and an arbitrator for the Arbitration Court attached to the Economic Chamber of the Czech Republic and to the Agricultural Chamber of the Czech Republic and also as an independent mediator. She reads lectures for leading Czech educational institutions, particularly on corporate law. Apart from her lecturing activities, she also publishes papers on professional topics.




 

   
 

Ing. Marie Jakubcová, Ph.D., MBA

 

 

Ms. Marie Jakubcová deals with transactions of business corporations and she develops transaction models with a focus on optimization of their tax consequences.

She specializes in coordination consulting, both in the tax and accounting areas in the course of implementation of company transformations.

Her scientific and research activities focus on tax and accounting issues and on transformation of business corporations. She is author and co-author of a number of scientific publications. She has acquired extensive lecturing experience by teaching accounting and corporate economics at the Faculty of Business and Management of the University of Technology in Brno and at the private university AKADEMIE STING, o.p.s., while she also uses her expertise as a lecturer for in-house corporate trainings.



 

   
 

Ing. Michaela Beranová, Ph.D.

 

Ms. Michaela Beranová specializes in corporate financial management, accounting and financial reporting, including accounting reports in agreement with IFRS. She has significant professional experience in tax issues, business economics, financial analysis, corporate finance and business valuation.

She used to teach at several economic universities, specifically at the Faculty of Business and Economics of Mendel University in Brno, the Faculty of Business and Management of University of Technology in Brno and the Faculty of Management and Economics of Tomas Bata University in Zlín. She is author and co-author of numerous scientific papers and she has lectured in the United States, Russia and most EU countries.

VISION

Recently, we have witnesses a completely new phenomenon of law abuse to gain tax advantage. It is a demonstration of the exclusive position of the state in the process of assessment and collection of taxes while many, so far traditional, legal principles are being denied.

Consequently, it has become difficult to identify, and thus also to observe, the line between tax optimization, which is a natural and rational behaviour of any economic entity, and law abuse with the objective to minimize tax obligations, even though it may still be legal. Both tax advisors and tax payers often find themselves in situations lacking legal certainty and stability in terms of how the tax administration would view their economic transactions.

Continual training and continual monitoring of trends in Czech and EU tax judicature are immanent parts of our team´s vision. We analyse the trends, predict their development and we also give lectures and publish articles in recognized specialist periodicals. It is our vision to naturally apply the latest trends into the projects in which we are involved as partners or consultants.
